  1. Agreement

    These Terms govern your use of UPNex Labs' website and services. By using our site or engaging our services, you agree to these Terms.

    We provide web and mobile app development, UI/UX design, product strategy, and related IT services. Specific scope, timelines, and deliverables are defined in a proposal or statement of work.

  3. Client Responsibilities

    • Provide timely content, access, and feedback
    • Review deliverables and approve milestones
    • Use deliverables only as permitted

  4. Changes and Revisions

    Any change to scope, timeline, or features may require a change request and may affect cost and delivery dates.

  5. Fees and Payment

    Fees and payment schedules are outlined in the agreement. Late payments may pause delivery until accounts are current.

  6. Intellectual Property

    Upon full payment, the client receives rights to agreed deliverables. UPNex Labs retains rights to pre-existing tools, frameworks, and reusable components.

  7. Confidentiality

    Both parties agree to keep confidential information private and use it only for project purposes.

  8. Warranty and Disclaimer

    We provide services with reasonable skill and care. Except as stated in the agreement, services are provided "as is" without additional warranties.

  9. Limitation of Liability

    To the maximum extent permitted by law, UPNex Labs will not be liable for indirect or consequential damages.

  10. Termination

    Either party may terminate with written notice. Fees for completed work remain payable.
